1. Agreement Acceptance and Parties
This Vendor Agreement (“Agreement”) is a binding contract between Life-Changing Wisdom Marketplace, LLC (referred to as “we,” “us,” or the “Company”) and you, the individual or entity applying to become a vendor (“you” or “Vendor”). By submitting a vendor application or by using the Life-Changing Wisdom Marketplace services to list or sell your content, you acknowledge that you have read this Agreement and agree to be bound by its terms. If you do not agree to these terms, you are not authorized to use the Marketplace and must not list any products or content.
Eligibility
By entering this Agreement, you represent that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and able to form a legally binding contract. You agree to provide and maintain accurate, complete, and valid registration information as part of your vendor account.
You do not need a business entity (LLC, corporation) or an Employer Identification Number (EIN) to become a vendor. Individual sellers may onboard using their Social Security Number through our payment processor, Stripe Connect. Vendors who wish to sell as a business entity may do so by providing their EIN during Stripe onboarding.
Vendor Approval
Vendor applications are subject to review and approval by Life-Changing Wisdom Marketplace. Approval is at the sole discretion of the Company. We may request additional information, conduct background review, or decline applications that do not align with our quality standards and community values. Submitting an application does not guarantee acceptance.
International Vendors
At this time, vendor accounts and payouts through Stripe Connect are available to individuals and businesses located in the United States. If you are located outside the United States and are interested in becoming a vendor, please contact us at team@lifechangingwisdom.com.
2. Changes to Terms
We reserve the right to modify this Agreement at our discretion. If we make material changes, we will notify you by posting the revised terms on our website or via email. Your continued use of the Marketplace after the effective date constitutes your acceptance.
3. Term and Termination
Term
This Agreement begins when your vendor application is approved and continues until terminated by either party.
Termination by You
You may terminate at any time by providing written notice at team@lifechangingwisdom.com. We will remove your listings within 5 business days. You retain your customer email list and your intellectual property.
Termination or Suspension by Us
We may suspend or terminate your vendor account at any time if you are in breach of this Agreement or any applicable law, if we have concerns about fraud or misuse, or if your actions might cause risk or liability to buyers or to the Company. We will notify you if your account is suspended or terminated.
Effect of Termination
Upon termination, your right to list and sell products ceases. Pending customer orders placed before the termination date will be fulfilled. Provisions that should survive by nature (payment obligations, indemnification, limitations of liability) remain in effect.
4. License Grant and Use of Content
You retain ownership of all intellectual property rights to the content and products you create. You grant us a non-exclusive, worldwide license to use your content as necessary to operate the Marketplace and fulfill orders. This includes:
- Reproduction and distribution (hosting, printing via Lulu Direct or Printful, selling to customers)
- Formatting and technical modifications (converting files for print-ready format, resizing images)
- Display and marketing (showing your listings, cover images, and excerpts on the Marketplace)
- Sub-licensing to fulfillment partners (sharing your files with Lulu Direct, Printful, or other production partners solely for manufacturing and shipping)
You retain all ownership. We obtain no exclusive rights. You are free to distribute your works through other channels.
If you sell your ebook through Amazon KDP Select (Kindle Unlimited), their 90-day ebook exclusivity clause applies to the digital version only. Your print book and merchandise can sell on LCWM and other platforms simultaneously. IngramSpark and Lulu have no exclusivity requirements for print distribution.
5. Pricing, Payments, and Fees
Revenue Share
For each sale, you receive 80% of net sales proceeds. We retain 20% as a platform fee. Net sales proceeds means the customer payment minus production costs, fulfillment costs, shipping, and payment processing fees.
This 80/20 split reflects our current creator-first pricing model. If we adjust this split, we will provide at least 30 days’ written notice.
Production and Fulfillment Costs
If your product is a physical good produced on-demand, the base production cost charged by Lulu Direct, Printful, or other fulfillment partner is deducted from the customer payment before the revenue split is calculated. We pass through actual costs with no markup.
Payment Terms
Payments are distributed monthly, 45 days after the end of the month in which sales occur, via Stripe Connect to your designated bank account. There is no minimum payout threshold. Detailed sales reports are available in your vendor dashboard.
Taxes
You are responsible for all taxes associated with your earnings. We will issue 1099-K tax forms through Stripe when applicable based on IRS thresholds. The platform collects and remits sales tax on behalf of vendors where required by law.
Refunds and Chargebacks
If a customer receives a refund, the corresponding amount will be deducted from your future payouts. The 45-day payment delay protects both parties from most chargeback losses.
6. Customer Information and Privacy
Scope of Customer Data Shared
Customer data shared with vendors is limited to the buyer’s email address and the product purchased. Physical addresses, payment information, and full purchase history are not shared.
Use of Customer Data
You may use the customer email addresses we provide for fulfilling orders, providing customer support, or marketing communications directly related to your products. You must comply with all applicable data protection and privacy laws (GDPR, CAN-SPAM, CCPA). You are prohibited from selling, renting, or disclosing customer information to unrelated third parties.
Data Security
You must keep customer personal data confidential and secure. If you become aware of any security breach involving customer data, you must notify us without undue delay.
7. Third-Party Fulfillment
We use third-party print-on-demand partners (Lulu Direct for books, Printful for merchandise) to fulfill physical product orders. By selling physical products, you authorize us to transmit your content and designs to these partners for production and shipping.
We are not liable for the acts or omissions of third-party fulfillment providers, though we will facilitate communication to resolve issues. Both partners will replace or refund items with manufacturing defects.
8. Representations and Warranties by Vendor
You represent and warrant on an ongoing basis that:
- You have the full right, power, and authority to enter into this Agreement
- You have obtained all necessary rights, licenses, consents, and permissions for your content
- Your products do not infringe or misappropriate the intellectual property or privacy rights of any third party
- All files and materials comply with our technical specifications and content guidelines
- If co-authors, editors, or illustrators have rights to a share of revenue, you are solely responsible for compensating them. We pay you. You pay your team.
9. Indemnification
You agree to indemnify, defend, and hold harmless Life-Changing Wisdom Marketplace and our officers, directors, employees, affiliates, agents, and contractors from any claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement, your violation of any applicable law, your products (including infringement claims), your misuse of customer information, or your dealings with customers outside our platform.
10. Disclaimer of Warranties
THE MARKETPLACE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” We make no representations or warranties of any kind, express or implied. We do not guarantee any minimum level of sales or that the Marketplace will be available without interruption. You are solely responsible for the content and quality of your products. We are a platform provider, not a publisher or agent.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THIS AGREEMENT OR THE MARKETPLACE. Our total liability for all claims will not exceed the total commissions (20% platform fee) we received from your sales in the twelve (12) months preceding the event. If no fees have been paid, the cap is $100 USD.
12. General Provisions
Independent Contractors: You and we are independent contracting parties. This Agreement does not create a partnership, joint venture, agency, or employment relationship.
Governing Law: This Agreement is governed by the laws of the State of Wyoming. Disputes will be subject to the exclusive jurisdiction of Wyoming state or federal courts.
Severability: If any provision is held invalid, the remaining provisions remain in full force.
Assignment: You may not assign your rights without our prior written consent. We may freely assign our rights.
Entire Agreement: This Agreement, together with our Privacy Policy, Terms of Service, Revenue Model, and Refund Policy, constitutes the entire agreement regarding the vendor relationship.
Vendor Approval Clause
Submission of a vendor application does not guarantee approval. Life-Changing Wisdom Marketplace, LLC reserves the sole and absolute right to approve or deny any vendor application at its discretion, without obligation to provide a reason for denial.
Approval criteria may include: alignment with the marketplace mission, completeness and accuracy of the application, content appropriateness, and platform capacity. Approved vendors are notified by email and may have their status reviewed periodically.
Life-Changing Wisdom Marketplace is an invitation-based sovereign territory. We reserve the right to maintain the integrity and standard of the platform by selectively approving vendors whose work, values, and products are consistent with the platform’s purpose.
